Terms of Service

These Terms of Service (“Terms”) govern your use of the MDX desktop application (“MDX”, the “App”), the website at hellomdx.com (the “Website”), and related downloads, updates, licensing, and support (collectively, the “Service”). MDX is currently operated by its individual developer, not by a registered company. In these Terms, “we”, “us”, and “our” mean the individual developer operating MDX.
By installing, activating, or using MDX, you agree to these Terms. If you do not agree, do not use the Service.
1. License grant
Subject to your compliance with these Terms and payment of the applicable fees, we grant you a non-exclusive, non-transferable, non-sublicensable, revocable license to install and use MDX for your personal or internal business purposes.
A single purchased license key may be activated on up to 3 devices that you own or primarily use. You may deactivate a device to free up an activation where the App or license provider makes this available.
You may not:
- redistribute, resell, sublicense, lease, or rent MDX or your license key;
- share your license key with other people or organisations;
- modify, decompile, reverse-engineer, or attempt to derive the source code of MDX, except to the extent such restrictions are prohibited by law;
- remove or obscure any proprietary notices in the App;
- use MDX to violate any applicable law or the rights of others.
We retain all rights, title and interest in MDX that are not expressly granted to you.
2. Free trial
We currently offer a 14-day free trial of MDX. During the trial you may use the App without a license key. When the trial ends, the App may restrict access until a valid license key is activated. Trial periods are non-renewable on the same device unless we explicitly reset them.
3. Purchases, pricing, taxes
All purchases of MDX are processed by Paddle.com Market Limited (“Paddle”) as the merchant of record. Paddle charges your payment method, issues the invoice, and collects and remits applicable taxes (such as VAT, GST, and US sales tax). Prices are shown on the Website or Paddle checkout and may change at any time, but changes do not affect orders already placed. A purchased license is for the version of MDX available at the time of purchase and includes updates as described in Section 4.
4. Updates
We may release updates, bug fixes, and new versions of MDX at our discretion. Your license includes all updates we make generally available to paying customers within the same major version line. We do not guarantee that future major versions will be free of additional charge.
The App may check for updates automatically and may also allow you to check manually. Updates are delivered through update.hellomdx.com and Cloudflare-hosted release files.
5. Refunds
We offer a 14-day refund from the date of purchase, no questions asked. To request a refund, email support@hellomdx.com with your order email and license key. Refunds are processed by Paddle and may take several business days to appear on your statement. Once a refund is issued, your license key may be deactivated and may no longer be used. 6. Your data
You retain all rights to the documents and files you create, edit, or open with MDX. We do not access, store, or transmit your file contents, except that optional AI features send relevant text to the API endpoint you configure. Our handling of personal data is described in our Privacy Policy.
You are solely responsible for backing up your files. We strongly recommend keeping backups using your preferred method.
7. Third-party services
MDX uses or integrates with third-party services. Your use of those services is subject to the third party’s own terms and privacy policies, including:
- AI providers (only when you configure AI features with your own API key and endpoint):

- Google (Gemini API) — https://ai.google.dev/gemini-api/terms
- xAI — https://x.ai/legal
- or any other OpenAI-compatible provider you point MDX at (subject to that provider’s own terms)

8. Acceptable use
You agree not to use MDX to:
- create or store content that is illegal under applicable law;
- infringe the intellectual property or privacy rights of others;
- attempt to bypass licensing, activation, or update mechanisms;
- distribute malware or use the App to do so.
We may suspend or revoke your license without refund if you materially breach these Terms.
9. Disclaimer of warranties
MDX is provided “AS IS” and “AS AVAILABLE”, without warranties of any kind, whether express, implied, or statutory, including merchantability, fitness for a particular purpose, non-infringement, accuracy, and quiet enjoyment, to the maximum extent permitted by law. We do not warrant that MDX will be uninterrupted, error-free, or that defects will be corrected.
Some jurisdictions do not allow the exclusion of certain warranties; in those jurisdictions the above exclusion may not fully apply to you, and you may have additional consumer rights that cannot be waived.
10. Limitation of liability
To the maximum extent permitted by law, in no event will we be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of MDX, even if we have been advised of the possibility of such damages.
Our total aggregate liability for any claim arising out of or relating to these Terms or MDX will not exceed the greater of (a) the amount you paid us for MDX in the 12 months before the claim, or (b) USD 50.
Nothing in these Terms limits liability that cannot be limited under applicable law (for example, liability for fraud, gross negligence, or — in some jurisdictions — death or personal injury caused by negligence).
11. Termination
You may stop using MDX at any time. We may suspend or terminate your license if you materially breach these Terms. On termination, your right to use MDX ends, but Sections 1 (last paragraph), 6, 9, 10, 11, 12, and 13 survive.
12. Changes to these Terms
We may update these Terms from time to time. The “Last updated” date will reflect changes. Material changes will be highlighted on the Website or inside the App. Your continued use after changes take effect constitutes acceptance.
13. Governing law and disputes
Until a more specific governing law is published, these Terms are governed by the laws applicable where the individual developer operating MDX resides, without regard to conflict-of-laws rules. Mandatory consumer-protection laws in your country of residence may still apply.
